Terms of use and order terms
Last updated: 2026-10-19
Two separate things live on this page: the rules for using this website, and the standard commercial terms that apply to a quotation. Where an order confirmation or a signed contract says something different, that document wins.
1. Using this website
The content here is for information. Prices, lead times, and specifications shown on product pages are indicative ranges based on typical projects, not binding offers. A binding price exists only in a written quotation issued to you, referencing your drawing and quantity.
We may change, correct, or remove content at any time. We do not guarantee that every page is current — if a number matters to your decision, confirm it with us by email before you rely on it.
2. Quotations
- A quotation states its validity period, usually 30 days. Material prices move; an expired quote is not a promise.
- Quotes assume the drawing, quantity, and specification provided at the time of quoting. A change to any of these invalidates the price.
- Tooling cost is one-time and separate from unit price unless the quote says otherwise.
3. Tooling and mould ownership
Once tooling is paid in full, the mould belongs to you. We hold it in our plant, maintain it, and will not use it to produce parts for any other customer. If you move production elsewhere, we will release the tool or ship it at your cost. Moulds we have not been paid for remain our property.
4. Samples and approval
Production runs begin only after you approve a physical sample or a signed first-article report. The approved sample defines the standard by which the shipment is judged — that is its entire purpose. Verbal approval is not sufficient; we will ask for it in writing, because memory is not a specification.
5. Payment and shipping
- Standard terms: 30% deposit / 70% before shipment (T/T).
- Standard Incoterms: FOB Shenzhen. Other terms by agreement.
- Risk passes according to the agreed Incoterm. If we arrange freight on your behalf, we do so as your agent.
- Title to goods passes on full payment.
6. Lead times
Lead times are counted from written sample approval and receipt of deposit, not from the inquiry date. Delays caused by late artwork, late approval, or late deposit shift the ship date by the same amount. Delays caused by us are our problem and we will tell you before you have to ask.
7. Claims and defects
- Inspect the goods on arrival. Notify us of any shortage, damage, or non-conformity within 15 days of delivery.
- If parts do not match the approved sample, we remake or credit them at our cost.
- If parts match the approved sample, the specification was wrong at approval and we will quote a rework rather than absorb it. This distinction is stated up front so it is not a surprise later.
- Colour variation within an agreed commercial tolerance is not a defect. Pantone matching is close, not mathematically identical, across silicone and PVC.
8. Intellectual property
You confirm that you have the right to manufacture the design you send us, including any licence required from a brand or rights holder. We will not knowingly produce a copy of another party's protected design. Files you send remain yours; we use them only to make your order. See IP protection for the full set of commitments.
9. Limitation of liability
Our liability for any order is limited to the value of that order. We are not liable for lost profit, lost launch windows, or consequential loss. If a deadline is commercially critical to you, say so in writing before the order is placed so it can be addressed in the contract — not assumed afterwards.
10. Governing terms
These terms are the baseline. Individual orders may be governed by a signed contract, a purchase order with agreed amendments, or the terms of a letter of credit. Contact kelen@wintel-factory.com with any question about a specific clause.
